The fine print, without the games.

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you” or “Customer”) and Vendax Systems LLC, a Limited Liability Company organized in California, United States, doing business as Vendax Systems Labs (“Vendax”, “we”, “us”, or “our”).

Vendax operates the Instant Deck AI service, available at www.instantdeckai.com(the “Service”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old (16 in the European Economic Area, 18 where required by local law) and able to form a binding contract to use the Service. You are responsible for keeping your account credentials secret and for all activity that occurs under your account.

We may refuse, suspend, or terminate accounts at our discretion if we reasonably believe a violation of these Terms or applicable law has occurred.

Instant Deck AI is a software-as-a-service tool that lets you generate, edit, and export presentations using artificial intelligence. We provide templates, layouts, themes, AI-assisted drafting, image search, and PowerPoint / PDF export as documented at www.instantdeckai.com.

We may add, modify, or discontinue features at any time. Material reductions to paid features will be communicated by email at least thirty (30) days in advance, and you will be entitled to a pro-rated refund for the unused portion of any prepaid period.

The Service is offered on a free tier and on paid subscription plans. Subscription fees, billing cadence, and included quotas are described on our pricing page. By starting a paid subscription you authorize us (and our payment processor) to charge your selected payment method on a recurring basis until you cancel.

Renewals.

Subscriptions automatically renew at the end of each billing period at the then-current price. You may cancel at any time from your profile page or via the Stripe-hosted billing portal we provide. Cancellation takes effect at the end of the current billing period; you keep paid features until then.

Taxes.

Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, value-added, GST, or similar taxes imposed on your purchase. Where required by law, applicable taxes are collected at checkout.

Refunds.

Refunds are governed by our Refund Policy. Where local consumer law (for example, the EU Consumer Rights Directive or the UK Consumer Contracts Regulations) grants you a statutory right of withdrawal, we will honor it.

Subject to these Terms and your timely payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business or personal use. You may not (a) sublicense, resell, or commercially redistribute the Service; (b) reverse engineer, decompile, or attempt to derive source code; (c) remove proprietary notices; (d) use the Service to build a competing product.

You retain ownership of every text, image, file, deck, or other material you submit to the Service (“Your Content”). You grant Vendax a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and process Your Content solely to operate, secure, and improve the Service for you.

You represent that you have all rights necessary to submit Your Content and that Your Content does not violate any law or third-party right (including intellectual property and privacy rights). We do not claim ownership of any deck or document you create with the Service.

The Service uses third-party large-language and image-generation models (currently Google Gemini and Imagen) to assist drafting. AI output may contain inaccuracies, biased material, or content similar to other users’ output. You are responsible for reviewing, editing, and verifying AI-generated content before relying on or publishing it.

As between you and Vendax, you own the AI output you generate through the Service to the maximum extent permitted by law. We make no representation that AI output is original, free of third-party rights, or fit for a particular purpose.

You agree not to use the Service to:

• violate any law or regulation, or infringe any third-party right;
• generate or distribute unlawful, defamatory, harassing, hateful, sexually explicit content involving minors, or violent extremist content;
• impersonate any person or misrepresent your affiliation;
• send spam, phishing, malware, or other harmful code;
• scrape, crawl, or extract data from the Service except via documented APIs;
• circumvent rate limits, plan limits, watermarks, or other technical controls;
• interfere with the Service’s availability or security.

We may suspend or terminate access for any violation. Report abuse to support@vendaxsystemlabs.com.

Each plan carries hard monthly quotas — not soft caps. Quotas reset on your renewal date. To keep performance fast for all users, the following limits are enforced.

Plan quotas.

• Free — 2 decks per calendar month; max 10 slides per deck; no AI image generation; watermark stamped at export.
• Pro — 50 decks per billing period; max 20 slides per deck; 50 AI images per month included; no watermark; priority AI model.
• Business— 150 decks per billing period (3× Pro); max 40 slides per deck; 150 AI images per month included; full Brand Kit; priority AI model; no watermark.

How AI image credits work.

• Plan-included credits reset on your renewal date and do not carry over.
• Credits from purchased image packs (10 /$ 1, 50 /$ 3, 200 /$ 9) never expire and persist across periods. They are deducted only after your plan-included credits for the period are exhausted.
• One AI image generation deducts one credit, regardless of model or prompt length.

Rate limits.

• AI image generation: maximum 10 images per minute per user.
• Deck generation: maximum 5 concurrent generations per user.
• API access (Pro and above): per-key limits documented in the API portal.

Prohibited uses (in addition to acceptable-use rules).

• Reselling Service output as a competing AI presentation product without a written agreement.
• Operating headless / unattended pipelines that generate decks beyond what a normal individual would produce — this includes content farms, SEO doorway pages, and similar high-volume automated workflows.
• Sharing a single account across multiple users (all plans are single-user; account sharing circumvents per-user quotas).
• Circumventing watermarks, plan caps, or rate limits via scripts or third-party tooling.

Enforcement.

When we observe usage materially outside this policy we will (a) email the account holder a notice within 5 business days, (b) propose a plan that fits the actual usage, and (c) if no resolution is reached within 14 days, throttle the relevant feature or, in extreme cases, suspend the account in accordance with the Termination clause. We try hard to use this escalation only when usage is clearly abusive — accidental spikes (e.g., a one-off content migration) are usually resolved with a one-week credit grant.

Live counters for your decks and AI image credits are visible at any time on your profile page. The pricing details referenced here mirror our pricing page; if the two ever conflict, the pricing page reflects the current published rates.

The Service, including its software, design, templates, brand marks, and documentation, is owned by Vendax Systems LLC or its licensors and is protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are transferred to you.

If you provide ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

The Service integrates third-party services (for example, Stripe for payments, Google Cloud / Firebase for infrastructure, Google Generative AI for drafting, Pexels for stock photos). Your use of those services is subject to their own terms. We are not responsible for third-party service availability or content.

Our handling of personal data is described in our Privacy Policy. By using the Service you acknowledge the data practices described there.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDAX SYSTEMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

You agree to indemnify, defend, and hold harmless Vendax Systems LLCand its affiliates from any claim, loss, damage, or expense (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or any law, or (c) your violation of any third-party right.

You may stop using the Service at any time and cancel your subscription from your profile. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a manner we reasonably believe is harmful. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) survive termination.

We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least thirty (30) days before they take effect, except for changes required by law or that address a security issue, which may take effect immediately. Your continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

If you reside in a jurisdiction whose consumer-protection laws grant you a different forum or governing law, those mandatory rights are unaffected.
